Overview
HealthDataTool (the "Tool" or "Service") is a free software application provided by NivexaAI LLC ("Company," "we," "us," or "our") that allows users to read, modify, and export common healthcare EDI (Electronic Data Interchange) data, including ANSI X12 transaction sets such as 837, 834, 835, 270/271, 276/277, 278, and 820. All data processing occurs locally on the user's device. Data is stored exclusively in an encrypted local SQLite database. NivexaAI LLC does not transmit, receive, host, access, view, or otherwise process any user content through any remote server, and at no time does NivexaAI LLC have access to any Protected Health Information ("PHI") or other data handled by the Tool. By downloading, installing, accessing, or using the Tool, you agree to be bound by these Terms of Use.

Eligibility and acceptance
You must be at least 18 years old and have the legal authority to enter into a binding contract to use the Tool. If you use the Tool on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms. If you do not agree to any portion of these Terms, you must immediately stop using the Tool and uninstall it from your devices. Continued use of the Tool constitutes ongoing acceptance of these Terms, including any updates.

License and permitted use
Subject to your compliance with these Terms, NivexaAI LLC grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Tool for your own or your authorized organization's lawful internal purposes involving healthcare EDI data. You may not (a) copy, modify, reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Tool; (b) rent, lease, sell, sublicense, or distribute the Tool; (c) remove or alter any proprietary notices; or (d) create derivative works of the Tool, except to the extent such restrictions are prohibited by applicable law. All rights not expressly granted are reserved by NivexaAI LLC.

Prohibited uses and user responsibilities
You agree not to (a) use the Tool in violation of any applicable law or regulation, including HIPAA, HITECH, state privacy laws, and any contractual obligations with covered entities, payers, clearinghouses, or trading partners; (b) use the Tool to access, process, or modify any data you are not authorized to handle; (c) attempt to interfere with, disable, or circumvent any security feature or technical limitation of the Tool; (d) use the Tool to develop a competing product or service; or (e) misrepresent the source, authenticity, or integrity of any EDI file produced using the Tool. You are solely responsible for: the EDI data you load into the Tool, all modifications you make, all files you export, the lawfulness of any transmissions you perform with those files, the security of the device on which the Tool runs, and the management of any encryption keys, passphrases, or credentials.
You agree not to (a) use the Tool in violation of any applicable law or regulation, including HIPAA, HITECH, state privacy laws, and any contractual obligations with covered entities, payers, clearinghouses, or trading partners; (b) use the Tool to access, process, or modify any data you are not authorized to handle; (c) attempt to interfere with, disable, or circumvent any security feature or technical limitation of the Tool; (d) use the Tool to develop a competing product or service; or (e) misrepresent the source, authenticity, or integrity of any EDI file produced using the Tool. You are solely responsible for: the EDI data you load into the Tool, all modifications you make, all files you export, the lawfulness of any transmissions you perform with those files, the security of the device on which the Tool runs, and the management of any encryption keys, passphrases, or credentials.
Data handling and HIPAA
The Tool operates entirely on the end user's device. All EDI data, including any Protected Health Information, is stored in an encrypted local SQLite database on the user's machine. NivexaAI LLC does not collect, transmit, receive, store, host, view, decrypt, or otherwise process any EDI data, PHI, or other user content. Because NivexaAI LLC does not create, receive, maintain, or transmit PHI on behalf of any covered entity or business associate, NivexaAI LLC is not a "Business Associate" as defined under 45 C.F.R. § 160.103, and no Business Associate Agreement is required, offered, or available. The user, and not NivexaAI LLC, is solely responsible for: (a) compliance with HIPAA, HITECH, state and international privacy and security laws, and any agreements with covered entities, payers, clearinghouses, or trading partners; (b) the physical and logical security of the device on which the Tool runs, including operating-system updates, anti-malware, full-disk encryption, and backups; (c) controlling access to that device and to the encrypted local database; (d) maintaining the secrecy of any passphrase, encryption key, or credential used with the Tool; and (e) the lawful and secure transmission of any EDI files exported from the Tool. Loss of an encryption key or passphrase may render the local database permanently inaccessible. NivexaAI LLC has no ability to recover, decrypt, or restore user data under any circumstances.

Intellectual property
The Tool, including all software, source code, object code, design, structure, user interface, documentation, trademarks, logos, and the "HealthDataTool" and "NivexaAI" names, is and shall remain the exclusive property of NivexaAI LLC and its licensors, and is protected by copyright, trademark, trade secret, and other intellectual property laws. Except for the limited license expressly granted in these Terms, no right, title, or interest in or to the Tool is transferred to you. You retain all rights to your own EDI data; nothing in these Terms grants NivexaAI LLC any ownership interest in, or license to, your data.
The Tool, including all software, source code, object code, design, structure, user interface, documentation, trademarks, logos, and the "HealthDataTool" and "NivexaAI" names, is and shall remain the exclusive property of NivexaAI LLC and its licensors, and is protected by copyright, trademark, trade secret, and other intellectual property laws. Disclaimers and limitation of liability
THE TOOL IS PROVIDED FREE OF CHARGE, ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NIVEXAAI LLC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, ACCURACY, COMPLETENESS, QUIET ENJOYMENT, OR THAT THE TOOL WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR HARMFUL COMPONENTS. NIVEXAAI LLC MAKES NO REPRESENTATION OR WARRANTY THAT EDI FILES READ, MODIFIED, OR EXPORTED USING THE TOOL WILL BE ACCURATE, VALID, COMPLIANT WITH ANY STANDARD (INCLUDING ANSI X12 OR HIPAA TRANSACTION STANDARDS), ACCEPTED BY ANY PAYER, CLEARINGHOUSE, OR TRADING PARTNER, OR FREE FROM DATA LOSS OR CORRUPTION. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF THE TOOL.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NIVEXAAI LLC OR ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, DATA, REIMBURSEMENT, PATIENTS, REPUTATION, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO THE TOOL OR THESE TERMS, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE) AND EVEN IF NIVEXAAI LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ALL CASES, NIVEXAAI LLC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE TOOL SHALL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS (USD $100.00) OR (B) THE TOTAL AMOUNT YOU PAID NIVEXAAI LLC FOR THE TOOL IN THE TWELVE MONTHS PRECEDING THE CLAIM (WHICH FOR FREE USE IS $0). YOU ACKNOWLEDGE THAT THE FOREGOING LIMITATIONS ARE AN ESSENTIAL BASIS OF THE BARGAIN AND THAT NIVEXAAI LLC WOULD NOT PROVIDE THE TOOL TO YOU WITHOUT THEM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification, dispute resolution, and governing law
You agree to indemnify, defend, and hold harmless NivexaAI LLC and its officers, directors, members, employees, contractors, affiliates, and licensors from and against any and all claims, demands, actions, proceedings, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Tool; (b) the EDI data you load, modify, or export with the Tool, including any PHI processed on your device; (c) your violation of these Terms or of any applicable law, regulation, or third-party right; (d) any submission, transmission, or use of files exported from the Tool; or (e) any breach of your representations or warranties hereunder. These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the Tool shall be resolved exclusively by final and binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, seated in San Francisco, California, and conducted in English. YOU AND NIVEXAAI LLC EACH WAIVE ANY RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN ANY CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION. Notwithstanding the foregoing, either party may seek injunctive or equitable relief in the state or federal courts located in San Francisco County, California, to protect its intellectual property rights. Any claim must be brought within one (1) year after the cause of action accrues, or it is permanently barred.

The license granted in these Terms terminates automatically if you breach any provision, and may be terminated by NivexaAI LLC at any time, with or without notice, for any reason or for no reason. Upon termination, you must cease all use of the Tool and uninstall it from your devices. The sections on Prohibited Uses, Data Handling and HIPAA, Intellectual Property, Disclaimers and Limitation of Liability, and Indemnification, Dispute Resolution, and Governing Law, together with any other provisions that by their nature should survive, shall survive any termination of these Terms. NivexaAI LLC may modify these Terms at any time by posting an updated version, with the revised "Updated on" date reflected at the top of this page. Your continued use of the Tool after such posting constitutes acceptance of the updated Terms. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect, and the unenforceable provision shall be modified to the minimum extent necessary to make it enforceable. These Terms constitute the entire agreement between you and NivexaAI LLC regarding the Tool and supersede all prior or contemporaneous understandings.
